Terms of Use

1. Who we are and what these terms cover

Plotwright (the "Service") is operated by Ken Hinton ("we", "us", or "the Provider"). These Terms of Use (the "Terms") govern your use of the Service. By creating an account, accepting an invitation, or using the Service, you ("you" or "User") agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy explains how we collect and handle your information. It is part of these Terms by reference, so please read it too.

2. Alpha status

The Service is in closed alpha. It is provided as-is, may contain bugs, may lose data, and may be changed, restricted, or shut down at any time without notice. You should not use the Service to store anything you cannot afford to lose. We strongly recommend keeping independent copies of any content you care about.

3. Eligibility and your account

You may use the Service only if you have received a valid invitation from us and are at least 18 years old (or the age of majority where you live). You are responsible for the activity that happens under your account and for keeping your password confidential. Sharing your invitation, account, or password with anyone else is not permitted. Tell us promptly if you believe your account has been accessed without your permission.

4. Acceptable use

You agree not to:

  • Upload or enter content that is unlawful, infringes the rights of others, or that you do not have permission to use or share.
  • Enter personal information about other people unless you have a lawful basis to do so. Avoid entering sensitive personal information you do not need.
  • Attempt to access organizations, workspaces, or content that do not belong to you.
  • Probe, scan, or test the security of the Service except as we expressly invite you to do.
  • Use the Service to send spam, malware, or any kind of automated abusive traffic.
  • Misuse the AI features in a way that imposes unreasonable cost on us. Per-user AI usage is metered and capped; circumventing the cap is not permitted.

5. Your content

You retain ownership of the content you create or upload to the Service ("Your Content"). You grant us a limited, non-exclusive license to host, store, process, and display Your Content solely to operate the Service for you and the members of your organization, subject to the visibility settings you choose. You are responsible for having the rights necessary to the content you put into the Service.

6. AI features

The Service uses third-party AI models (currently Anthropic's Claude) to help you draft, coach, review, and discover content. When you use an AI feature, the content you are working on is sent to the AI provider to generate a response, and some features use the provider's web search to look up public information. How that data is handled is described in our Privacy Policy.

AI output is generated and may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing and validating any AI-generated content before relying on it. We do not guarantee that any AI output will be correct, fit for purpose, or available at any given time.

The Service — including its frameworks, evaluations, and financial analyses such as NPV and discounted cash flow — provides decision-support tools, not professional advice. Nothing in the Service is financial, investment, legal, tax, or accounting advice, and your use of it does not create any professional or advisory relationship. You are responsible for independently reviewing and verifying all inputs, calculations, and results before relying on them, and we do not guarantee any particular result, outcome, or level of performance from the Service.

7. Feedback

If you send us feedback, suggestions, or ideas about the Service, we may use them for any purpose without any obligation to you.

8. Fees

During the closed alpha the Service is provided free of charge, and we bear the cost of the AI features subject to the per-user caps described above. We may introduce fees in the future; if we do, we will tell you before they apply to you.

9. Our intellectual property

The Service itself — including its software, design, and the framework definitions and guidance we provide — is owned by us or our licensors and is protected by intellectual-property laws. These Terms do not grant you any rights to it except the right to use the Service as permitted here. "Plotwright" and our logos are our marks; you may not use them without our permission.

10. Third-party services

We rely on third parties to operate the Service, including an AI provider, an email provider, and hosting and database providers. Their availability and their own terms can affect the Service. The providers we use are listed in our Privacy Policy.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason — including, without limitation, a suspected violation of these Terms. You may stop using the Service at any time and may ask us to delete your account.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT (INCLUDING AI OUTPUT) WILL BE ACCURATE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROVIDER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD 100).

14. Indemnification

You agree to indemnify and hold harmless the Provider from any claims, damages, and expenses (including reasonable legal fees) arising out of Your Content or your misuse of the Service or violation of these Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Michigan have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

16. Changes to these terms

We may update these Terms from time to time. Material changes will be announced in the Service, and your continued use after a change takes effect constitutes acceptance of the updated Terms.
